The Buffer Board of Trustees Constitution

The Preamble

We, the Buffer alumni, of the Buffers of Hamilton College of Clinton, New York, of the United States of America, in order to form a more perfect budget, establish cash flow, ensure Bufferly tranquillity, provide for the common expense, promote the general welfare, and secure the blessings of liberty to ourselves and our posterity, do ordain and establish this constitution for the Buffer Board of Trustees of the Buffers, of Hamilton College of Clinton, New York, of the United States of America.

Article I. (Legistlative Process and Body)

Section 1. Legistlative Powers

All legislative Powers herein granted shall be vested in a Buffer Board of Trustees.

Section 2. Buffer Board of Trustees

Clause 5: The Founding Buffer Board of Trustees. The Buffer Board of Trustees and its designated officers, at the time of the generation of this constitution (9/16/96), and until further situations merit otherwise, is composed of those members whose signatures, names, and offices appear below on this constitution.

Clause 1: Composition and Selection of Members.The Buffer Board of Trustffl shall be composed of members chosen at the discretion of the Chairman of the Board, or by a concurrent two thirds vote of at least two thirds of the Buffer Board of Trustees. A member may dismiss himself by delivering his notice of resignation to the Chairman of the Board.

Clause 2:Qualifications.No person shall be a Trustee who shall not have attained membership in The Buffers, and have completed his time at Hamilton.

Clause 3: Officers and Impeachment.The Buffer Board of Trustees shall choose their Chairman and Vice Chairman by a concurrent vote from at least two thirds of the members present of two thirds of the members voting, and have the sole power of impeachment.

Clause 4: Impeachment Votes.The Buffer Board of Trustees shall have the sole power to vote on, and thereby make judgment upon, any impeachment of its' members. When the Chairman of the Board is voted upon, the Vice Chairman will preside and the Chairman, or any member under impeachment, shall not be allowed a vote. No person shall be impeached without at least two thirds of the members participating in the vote. No person shall be impeached without the concurrence of at least two thirds of the members voting.

Clause 5: Penalties for Impeachment.Judgment will be decided upon by a concurrence of at least two thirds of at least two thirds of the members voting, excluding the member being voted upon. ]udgment shall not extend further than to removal from the Buffer Board of Trustees, and to disqualification to hold and enjoy any advisory office under the Buffer Board of Trustees; but the party shall nevertheless be liable and subject to indictment, trial, judgment, and punishment according to the laws of the IJnited States of America.

Section 3: Organization and Rules of the Buffer Board of Trustees

Clause 1: The Board makes its own rules.The Board may determine the rule of its proceedings.

Clause 2: Implied Consent.The Chairman shall conduct the proceedings of the Board in the most expedient manner available, and may assume implied consent of the board with regard to the proceedings if none of the board members protests the manner in which the proceedings are conducted.

Section 4: Method of Doing Business

Clause 1: The Chairman's Independent Power and Implied Consent.The Chairman of the Board may conduct business directly and indirectly related to the Board in behalf of the Board without consulting the Board.

Clause 2: Dissemination of Information.The Chairman shall disseminate information that is crucial to the operation of the Board eo its members.

Clause 3: Chairman's Option to Activate Voting.The Chairman may choose to call for a vote of the Board if he deems the issue in question one that should be considered by the entire Board.

Clause 3.5: Chairman's Option to Activate Voting.The Chairman, in times of voting, shall notify all members of the vote, and include sufficient information about the issue being voted upon.

Clause 4: Voting Method.Issues that are voted upon shall be decided by a vote including not less than two thirds of the member of the Board, and no less than two thirds of the members voting must concur in order for the vote to be decided.

Clause 5: Right to Call for a Vote.Any member of the Board has the right to call for a vote on any issue, as long as he is seconded by another member.

Section 5. Powers Granted to the Board

Clause 1: Administration of the Buffer Trust Fund.The Board shall oversee the administration of the Buffer Trust Fund, and may make decisions concerning the generation, regulation, operation and dissemination of the Buffer Trust Fund.

Clause 2: Administration of Buffer's Quarterly.The Board shall oversee and contribute to the generation, regulation, operation and dissemination of Buffer's Quarterly, the official newsletter of the Buffers.

Clause 3: Appointment of Board Advisors.The Board shall appoint non-member advisors to advise the decision making process of the Board.

Section 6. Powers Denied to the Board

Clause 1: Exclusion from Buffer Decisions.Neither the Board, nor any member therein, shall attempt to unwantedly influence the decision making process of the Buffers.

Clause 2: Compulsory Support.Neither the Board, nor any member therein, shall withhold moneys from the Buffers for any r ason associated with Board opinion of the Buffers. The Board shall not punish, in any way, the Buffers for actions or ideals that may conflict with the ideals or actions of the Board.

Article II. (Leadership)

Section 1. The Chairmanship

Clause 1: Duties and Responsiblities of the Chairman.The Chairman holds all responsibilities listed above. Among these are: overseeing the publication of Buffer Quarterly; daily administration of the Buffer Trust Fund; organizing and presiding over the meeting and voting of the BBT; encouraging amiable relations with the Buffers, Buffer Grandmothers and Buffer Wives as well as Buffer Alumni.

Clause 2: Growth Option.The Chairman's duties and responsibilities are not limited to those listed in this constitution. The Chairman shall, to the best of his ability, without conflicting with the laws of this constitution, see to the growth and prosperity of the Buffer Trust Fund, the Buffer Board of Trustees, Buffer's Quarterly, and the Buffers. The Chairman may delegate any of his duties and responsibilities to members of the Board, or when appropriate, advisors to the Board.

Section 8. The Vice Chairmanship

Clause 1: Support and Aide to the Chairman.The Vice Chairman shall aide the Chairman in all of his duties and responsibilities, and keep himself abreast of current issues that relate to the Buffer Board of Trustees, the Buffers, the Buffer Trust Fund, Buffer's Quarterly, and all other business of this Board. The Vice Chairman will preside in any Buffer Board of Trustees meeting or vodng when the Chairman is not available. In the event of the absence or incapacitation of the Chairman, the Vice Chairman shall temporarily assume the Chairman's duties and responsibilities.

Article III. (General Provisions)

Section 1. Realtions of the Board of Trustees to the Buffers.

Clause 1: General Relations.The Board shall encourage amiable relations between the Board of Trustees and the Buffers, and shall keep in mind, at all times, that the central duty of this Board is to benefit the Buffers.

Section 2. Dissolution of the Board or the Buffers.

Clause 1: Dissolution of the Board.In the event that this Board is dissolved, all finances shall be immediately turned over to the Buffers. If the Buffers are dissolved, all finances shall be immediately donated to a scholarship fund at Hamilton College.

Article IV. (The Process of Ammendment)

Clause 1: Ammendments to the Constitution.This constitution may be amended by a concurring vote of the Board of Trustees.

Article V. (Ratification of the Constitution)

Clause 1: Immediate Ratification.This Constitution shall be ratified when all of the members of the current Board of Trustees place their signatures below.
